l est fr\u00e9quent que, dans les soci\u00e9t\u00e9s de type SARL, un g\u00e9rant d\u00e9missionne de son poste pour une raison ou une autre, laissant ainsi un vide juridique qui pourrait entraver l\u2019activit\u00e9 de la soci\u00e9t\u00e9, \u00e9tant donn\u00e9 qu\u2019il d\u00e9tient tous les pouvoirs.

Pour \u00e9viter cette situation, le l\u00e9gislateur a ajout\u00e9 un nouveau paragraphe \u00e0 l\u2019article 71 de la loi 5-96 sur les soci\u00e9t\u00e9s commerciales, permettant aux autres associ\u00e9s de convoquer une assembl\u00e9e g\u00e9n\u00e9rale pour d\u00e9signer un nouveau g\u00e9rant.

Une autre situation posant de nombreux probl\u00e8mes op\u00e9rationnels est le d\u00e9c\u00e8s de l’associ\u00e9 unique.

La loi 5-96 a r\u00e9cemment ajout\u00e9 un paragraphe \u00e0 l\u2019article 85, qui donne aux h\u00e9ritiers le droit de convoquer une assembl\u00e9e g\u00e9n\u00e9rale pour adapter les statuts suite au d\u00e9c\u00e8s de l\u2019associ\u00e9 unique.
